The legal meaning of due diligence is narrower and more technical. The legal definition centers on two roles.

  1. Due diligence is the formal investigation that informs transaction documents (share purchase agreements, asset purchase agreements, and merger documentation). 
  2. it is a recognized standard of care under Armenian and international law: a party that demonstrates it took all reasonable steps may have a defence to certain liabilities. Consequently, the definition of due diligence in law covers both transactional and liability dimensions.

Scope of Legal Due Diligence

In most Armenian deals, the buyer commissions legal, financial and tax review at minimum; the rest is scoped based on target size, sector and risk. Comprehensive legal due diligence in mergers and acquisitions is one of those three core workstreams.

Legal Due Diligence for Acquisitions vs Mergers

The legal investigation differs by deal structure. For acquisitions — share or asset purchase — the focus is on what transfers: clean title, change-of-control consents, regulatory clearances, and indemnifiable historic liabilities. Every red flag we identify maps to a corresponding warranty, indemnity, condition precedent or price adjustment in the SPA.

For mergers and amalgamations, the focus shifts to corporate authorization under the Law on LLCs and the Law on JSCs, creditor protection requirements, treatment of dissenting shareholders, contracts that do not survive a merger, and post-merger regulatory notifications. Consequently, merger diligence is tightly coordinated with the corporate-law team drafting the merger agreement.

Cross-border deals add another layer. International acquirers of Armenian targets — and Armenian companies merging into foreign groups — also need merger control analysis under the OECD competition framework and applicable EAEU or bilateral regimes.

Tax Due Diligence in Armenia: Why Legal Review Alone Is Not Enough

Legal due diligence confirms the target is legally sound but does not quantify what the target owes under the RA Tax Code. In most Armenian acquisitions, tax exposure is the single largest hidden liability that surfaces during a deal and it requires a separate tax due diligence workstream to identify, quantify and translate into SPA protections.

The Due Diligence Defence in Armenian Law

Beyond M&A, the term carries a separate technical meaning. The due diligence defence is a recognized doctrine under which a person or company facing administrative or criminal liability — most commonly in regulatory, environmental, occupational-health, anti-corruption and consumer-protection contexts — may avoid or reduce liability by showing that they took all reasonable steps to prevent the offence.

The due diligence defence is a legal doctrine that allows a defendant to avoid liability for a regulatory or strict-liability offence by demonstrating that they exercised all reasonable care to prevent the breach.
