What if the company you are about to acquire has a hidden lawsuit, an unregistered share transfer, or a license about to be revoked? Legal due diligence in Armenia answers questions like these before you sign — not after. At MB Legal, our M&A due diligence lawyers investigate Armenian targets for buyers, investors and merging entities, surfacing the corporate, contractual, regulatory and litigation risks that reshape valuation and protection clauses. As a recognized due diligence law firm, we explain below what due diligence means, what we cover, and what you receive.
The legal meaning of due diligence is narrower and more technical. The legal definition centers on two roles.
To define the due diligence process in M&A: it is a structured workflow of scoping, document review, public-registry searches, management interviews, red-flag reporting, and final risk-rated reporting that translates findings into deal-document protections. Each step is described in detail below.
For the broader corporate-transactional context, see our Business and Corporate Law practice.
MB Legal scopes each legal due diligence engagement to the deal (share acquisitions, asset purchases, statutory mergers and joint ventures). Our diligence lawyers investigate the following areas as standard:
Due diligence in corporate law — registration, share capital, ownership chain, board and shareholder resolutions, ultimate beneficial ownership, transfer restrictions for LLCs and JSCs. This is where governance defects most often surface.
Due diligence in contract law — change-of-control clauses, termination rights, exclusivity, assignment limits, and surviving obligations across customer, supplier, financing and lease agreements.
Regulatory and licensing review — validity and transferability of sectoral licenses (Central Bank of Armenia, telecoms, mining, pharmaceuticals, gambling, energy).
Litigation and disputes — pending and threatened claims, arbitration, tax disputes, and bailiff enforcement actions.
Real estate and Cadastre — title, encumbrances, mortgages, lease registration and zoning compliance.
Intellectual property — AIPA registrations, IP assignment chains, domain names and proprietary technology.
Employment and labor — contracts, termination exposure under the RA Labor Code, expat work permits.
Compliance — AML, sanctions, anti-corruption and data protection (RA Law on Personal Data).
Two related but distinct lenses apply across the scope: due diligence corporate law focuses on the entity’s structure and governance, while due diligence company law extends into share-class mechanics, capital maintenance and shareholder rights. Both lenses are applied. Similarly, due diligence contract law examines the legal enforceability and transfer-survivability of each material agreement.
For execution after diligence completes, see our Contracts and Transactions team.
The legal investigation differs by deal structure. For acquisitions — share or asset purchase — the focus is on what transfers: clean title, change-of-control consents, regulatory clearances, and indemnifiable historic liabilities. Every red flag we identify maps to a corresponding warranty, indemnity, condition precedent or price adjustment in the SPA.
For mergers and amalgamations, the focus shifts to corporate authorization under the Law on LLCs and the Law on JSCs, creditor protection requirements, treatment of dissenting shareholders, contracts that do not survive a merger, and post-merger regulatory notifications. Consequently, merger diligence is tightly coordinated with the corporate-law team drafting the merger agreement.
Cross-border deals add another layer. International acquirers of Armenian targets — and Armenian companies merging into foreign groups — also need merger control analysis under the OECD competition framework and applicable EAEU or bilateral regimes.
We provide an extended M&A due diligence checklist to engaged clients on request. A practical mergers and acquisitions due diligence checklist for an Armenian target typically covers:
Most Armenian SME acquisitions complete legal DD in two to four weeks. Regulated targets typically take six to ten weeks. Moreover, expedited red-flag-only reviews are delivered in seven to ten business days. Our process is designed for transactional speed without sacrificing depth:
Scoping and engagement — scope, materiality thresholds, jurisdictions, timeline.
VDR review and document request list — tailored to deal type and sector.
Public registry searches — State Register, Cadastre, AIPA, court records, bailiff databases.
Management Q&A and interviews — Armenian, Russian or English.
Red flag report — issued mid-engagement so the deal team can react.
Final due diligence report — risk-rated findings with transactional recommendations.
Negotiation support — drafting warranties, indemnities, disclosure schedules, conditions precedent.
Post-closing support — closing checklist execution and regulatory filings.

Beyond M&A, the term carries a separate technical meaning. The due diligence defence is a recognized doctrine under which a person or company facing administrative or criminal liability — most commonly in regulatory, environmental, occupational-health, anti-corruption and consumer-protection contexts — may avoid or reduce liability by showing that they took all reasonable steps to prevent the offence.
The due diligence defence is a legal doctrine that allows a defendant to avoid liability for a regulatory or strict-liability offence by demonstrating that they exercised all reasonable care to prevent the breach.
In Armenian practice, the defence is most often raised in:
Building the defence is mainly a compliance-design exercise — board oversight, written policies, training records, monitoring, and demonstrable corrective action. Our lawyers and attorneys advise on both prevention (compliance system design) and litigation (raising the defence in proceedings).
MB Legal is featured on Chambers and Partners and Legal 500. Additionally, we maintain offices in Armenia and Georgia, advising on M&A across technology, banking and finance, real estate, mining and consumer sectors. Generic templates do not apply — our reports reflect the actual issues that recur in Armenian deals: governance defects under company law, Cadastre title irregularities, informal share transfers, and licensing surprises that catch foreign acquirers off guard.
Legal due diligence covers half the picture. The other half (historical tax compliance, hidden tax exposure, quality of earnings, working capital and net debt) is tax and financial due diligence, delivered in parallel by Alpha Accounting. Running both workstreams concurrently typically saves two to three weeks on the deal timeline and produces one unified risk picture for the buyer.

The legal definition has two parts. As a transactional term, it is the formal investigation a buyer undertakes to verify the legal status of a target before signing. As a liability term, it is the standard of reasonable care that can serve as a defence under Armenian and international law.
In business, due diligence means the practical investigation conducted before a transaction or major commitment — covering legal, financial, tax, commercial, and operational dimensions of the target.
Standard scope covers corporate law, contract law, regulatory and licensing, litigation, real estate, IP, employment, and compliance. Each area is risk-rated and tied to specific protections in the deal documents.
A due diligence lawyer is an attorney specialized in transactional legal review for M&A, financing or investment deals. The role differs from general corporate counsel in its forensic, risk-quantification focus.
Two to four weeks for a standard SME acquisition, six to ten weeks for regulated targets, and seven to ten business days for a red-flag-only review.
